We would like formed a safety committee and would like to know if it is ok to have more than two board members at the committee meetings that are not a part of a regular HOA Board meeting.

It depends. How many directors constitute a quorum? And are they going to attend the safety committee meetings as observers/spectators or are they going to participate in the meetings? When a quorum of directors - this usually means a majority of your board - gather to discuss association business (in Florida) then it's technically a Board meeting. Less than a quorum, that's fine and the board members can participate in the meeting.

That's from the Florida Statutes, not the "state bylaws".

Some questions:

Was there a committee chair designated?

Were you established to make decisions and do specific tasks? (i.e. "with power"?)

Or are you a reporting committee that will simply investigate and report its findings back to the board?

Is it going to be a Standing Committee or an ad hoc committee?

Did the Board chairperson name the committee members or did the committee chair find them, or are they non-Board volunteers?

Was a Board liaison named?

The Board chair is usually an ex-officio of all Board Committees, so he/she may be in attendance, too.

You can even have non-members on the committee - like a police officer.

This sounds like an "ordinary committee", not a "committee of the whole" (the entire board) so be careful that it not perceived as a mini board meeting.

Geno cited the correct statute, Diane. It means that if a quorum of the board attends the committee meeting, they may only as observers. Or, among themselves, they can choose who may speak so that las than a quorum does. That is exactly what our attorney advised in a letter to our board.

How many would be a quorum of your Board, Diane?

If three HOA board members sit on the Architectural Review Committee, would that constitute a quorum of the HOA board?

There are 5 members on each of these boards/committees...in FL.

How many directors on the board in all? If the answer is 5 or less then yes, 3 constitutes a quorum. It's not practically a problem until someone objects or complains. We had 4 (of 6) board members at each of our last Finance Committee, Landscape Committee and Maintenance Committee meetings. They were certainly statutory "board meetings" but were never noticed as such. Notce of them was posted, however, and they were all open to any homeowners who wished to attend.

Your HOA sounds a lot like mine, Jim.
