Typically by a majority vote (3 to 1 or 4 to 0) of the remaining 4 BOD Members. They can pick anyone they want as long as that person meets the associations docs to run for office.

Typically, if a Director resigns, the remaining directors appoint a replacement to serve the remainder of that term.

Check your governing documents and applicable laws (typically corporate law) to be sure your Association is typical.

Usually, the answer is in your bylaws. If not, it'll be in OK's corporation laws if you're incorporated. And it usually is like John wrote.
