As I started digging through the secretary of state web site I came across a new paper which is from 9/6/2017 in which it now has a new person listed as incorporator .

I have been trying to google to figure out what this is ,I do know the old papers I had a different name but that was July 1998
This new one is 9/6/2017

The older one was here in the state and may have been somehow connected with the builder this new paper is for a person from Florida .

Am I the only one who finds this odd ?Or is this just what they do ?

Sounds like you lost corporate status and rights to the name some time in the past.
Someone, perhaps the Association - perhaps not, incorporated with the name you are looking at.

The incorporator could be a legal firm, someone on the Board, etc. Look at the documents associated with the corporation and see. If need be, ask the Association.

Interesting I did some googling on the name listed ,what came up kind of matched the name and address of the person listed .
I will say the person listed when I did the online search came up to a person who was in their late 70's and lives in a different state .
I will point out the date recorded was 9/6/17 but the date signed was 8/15/17
I never seen this name before ever .

As to the board I had our current secretary of the hoa ( not the pmc secretary) ask our PMC and they were told we did not need a board of directors.

I have sent an email to the hoa secretary and asked if they know about this I am awaiting a reply

I am wondering if this is a case of the right question? Meaning your asking if your HOA needs a board of directors but it may be they just need officers. Our HOA the board was just President, Vice-President, Secretary, and Treasurer but no "board members". That's because those office positions made up the board. Now some HOA's they have positions of the board members PLUS Officer positions. The officer positions being elected from the Board.

Hope that made some sense... You may be asking if you need a board of directors but the term your looking for is "Do we need board members in additions to officers?" Also make sure your not asking the PMC if they need a board.

Just advising so you get the answers your looking for by asking the right questions.

I'm with Tim ... sounds like your HOA has not kept up with your HOA potential state requirements. It seems to have been done sporadically. In some states that is not good. In some if your State info is not filed and current you cannot go after owners for non payment of assessments or HOA fines until you become current.
