Hello,
We are a small association in Rhode Island (10 units, with one owner owning 4 units) and most of the other owners do not wish to serve. So we have 2 positions of a needed 3 filled. What are our governing options if only 2 wish to serve?

You should try to fill all three, but even if only one is willing to serve, the courts apparently okay this in lieu of appointing (a very expensive) receiver. Run elections that are legal, have whoever is serving on the board do their best to follow the governing documents and law, and all should be fine.

I find that waiting for "volunteers" to step up can be fruitless.

Have your meetings. Seek out & suggest someone who would be a good board member, then two of you should appoint this person to fill the vacancy.

(Do your bylaws say that board members MUST be residents or homeowners?)

Thanks for the suggestions on how to tread water until someone emerges. Will conduct business as usual and follow rules/reg as close as possible. Our by-laws say only owners are eligible.

Has anyone said why they don’t want to serve? It’s true some people don’t have the time or want the responsibility (and some people don't do well with taking responsibility for anything), but there may be some misunderstanding as to what’s required.

For example, if time is an issue, you could be flexible in scheduling meetings, as long as other homeowners are notified in a timely manner. You don’t say if you have a property manager (a lot of small HOAs don’t), so if taking charge of specific areas puts people off, it may be worth it for your association to consider hiring one for day to day activities, taking that pressure off the board members.
