How should a meeting between president and VP be handled? Want to make sure all rules are being followed...should be in a public place?

This isn't a board meeting. Sounds like just having a meeting between the two of you to be on the same page. Plus the VP responsibility is to take over a meeting whenever the President can't make it. So why would you not meet prior to a meeting? It's part of the duties/responsibilities. Just don't make official decision.

If the two make a quorum of the Board (i.e. three person board) AND association business is being discussed - its a board meeting.

If the two do not make a quorum OR association business is not the intended topic for the meeting - it's simply two people getting together.

If the two are simply following through on duties assigned (i.e. checking on a contractor doing work, etc.) AND not decisions are being made beyond what the Board authorized - it's not an issue.

I agree entirely with Tim. BUT if IL permits a quorum of the Board to meet outside of duly noticed meetings, you have problem.

There are 6, I am the new President and the VP is new - our board is a mess and one member in particular thinks they know everything but in fact they know nothing. I just want to make sure this person doesn't try to stir up more trouble if she thinks we're doing something "illegal"

Since 2 of a board of 6 is not a quorum, you & the VP meeting in private is just fine.

But my reply is based on my LACK of knowledge of IL laws. In other words, the whole Board might be able to meet without homeowners present if IL law permit it. So...one question is: must you permit Owners to attend any meeting about HOA topics if it's a quorum of your Board?

A 2nd question: most HOA bylaws say the Board should be an odd number. Or, a range, let's say between 3 & 7 members. What do you Bylaws require?

It is normally 7 but no one wanted to fill the vacancy. We would need to call an official meeting if we were at quorum so I think we are good to meet just the 2 of us.

With 6 or 7, it takes 4 to have a Quorum.

There should not be a meeting between the P and the VP unless you're talking about football, the kids, grandkids, etc.

That's my opinion as I'm not up on IL law either. But why do something that could cause exclusion? You should be able to discuss everything in front of your board members.

In SC, with no Quorum, no business can be done.....but feel free to discuss any subject including what business you might have liked to do. You just can not conclude the business.
