Our HOA Board is made up of 3 members. Those three also serve as officers (President, Sec, and Treas.). A fourth officer allowed is the Vice President of the HOA. When they meet in monthly board sessions they occasionally cast a vote. It is my position that the VP, not being a board member, has no vote. The CCR & By Laws only address the 3 BOD members. Nothing is said about the VP except that they are an officer. When voting on issues I maintain the VP has no voting rights. Am I correct?

Your opinion is correct.

Only Directors are authorized to vote at a Board of Directors meeting.
Officers simply provide reports, inputs, opinions and carry out the decisions of the Board.

Often, especially since most Association Officer positions are filled by Directors, it is easily forgotten that Officers and Directors are two different positions.

Your governing documents should specify how many Directors you may have.

So....your Bylaws says something like: the board comprises three directors. then under officers, it says something like: the Officers must be Prez, sec'y & treasurer. The board may appoint additional officers as needed.

That's roughly what ours say, and as per Tim, since the VP in your case is not a director s/her may not vote.

This is very common. People who can't (or won't) distinguish between directors and officers often use terms like, "President of the Board", or "Board President". The president is the president of the association; the president is not the president of the board of directors.

Thanks for the input. The fact that we have a 3 member BOD and they can vote is exactly what I thought. In addition to the VP the BOD may also appoint other people to serve as officers or assistants. I appreciate your comments and verification.
