In Texas HOAs are required to file a Property Owners Association Management Certificate.
Ours was filed by the developer because at the time he formed the HOA he
was 'the Board". We are transition from developer to homeowners HOA. I went online to look at what a Property Owners Association Management Certificate
looks like and it shows our Bylaws???? Can he file the bylaw as the Property Owners Association Management Certificate.
I searched other HOA in our area and they have a Property Owners Association Management Certificate and it is not their ByLaws.

Sorry we are new and still learning.

A property owners association management certificate doesn't sound like bylaws. Bylaws dictate how a corporation (for profit or non-profit) are run and they're usually filed with the state secretary of state's office.

Did you ask the developer these questions? What was the response? Check the papers you got when you brought your house - do you have anything that says "bylaws?" If so, is there anything that says where and when the documents were filed?

Would this be the document filed with the States corporation Commission?

If it is, the Bylaws may specify the initial set of Directors and, if there was no change - one might not need to be updated.
Many State Corporation Commissions require this information annually (the annual report) or you can lose your corporate status.
It is also not unusual for the Bylaws to be filed with the commission (some States require it).

If this is what you are calling the association management certificate, forms are likely available from that office.
