Hello Every one!! I am concerned that our property manager routinely oversteps her bounds. She calls for votes and adds little zingers like " remember majority rules" Also board members include her on their emails. She chimes in on our discussions and tries to sway board members to vote along her recommendations. She can't stand it when board members fact check and bring information to light. I really need help reigning her in she is out of control.

Hi Denise, looks like you're on the Board, right? How many directors are there? How many homes in your HOA?

Our contract with our PM includes that she researches various topics and brings recommendations to the Board. She, then, orally presents them because they are agenda items. Her written Manager's Report to the board includes her recommendations too. She promotes her recs once--when she presents them.

It's rare that her facts are wrong, so no one has "fact-checked" her publically. When I disagree with her analysis or assessment, I email her before the meetings to ask her about the topic and she & I straighten the matter out before the meeting. We get our meeting packets about a week in advance. We have a board-approved document that says among other things, that we mangers not chastise management in public. Sometime, public fact-checking can see like a criticism that perhaps should be done in private on in executive session. Or it can seem like someone is playing "gotcha!"

So your PM may or may not be overstepping in this area depending on what your HOA's contract is with her or the management co. (MC) she works for.

She sits next to our president-- mediocre presider-- during board meetings and sometimes says as a very quiet aside to him "call for a vote," when he lets certain directors ramble on & on. She, rather, than the president, repeats the motions before votes, which is fine with all of us. She and her assistant write the meeting minutes as per our contract.

Our PM usually makes no recommendation on other recs re: others' agenda items unless she know it's against the law or our governing docs.

Our PM does not "chime in" during discussion or debate unless one of have a question for her, nor make silly remarks like "majority rules."

We directors in one-on-one emails to other directors may include her depending on the topic especially if we want her opinion. Emails for a quorum of directors are exceedingly rare in CA dues to state statutes. But if a quorum did email, they'd certain include our PM.

So it seems that some things the PM is doing are OK depending on your contract and that a couple may exceed her authority. To "rein her" in though takes a joint effort by a majority of the Board. Perhaps it could begin with the president having a friend chat with her. If that doesn't work, you all might try to guide her behavior in an executive session meeting.
