If the Vice President of a Florida Association assumes the office of President, who is next in line to assume the office of Vice President, when there is only one vice president?

I understand your thinking but you are missing a very important point.

When the President position is vacant, or the president is simply unavailable, the VP assumes the duties of the president. They do not assume the office.

The Board, via majority vote, would appoint someone to fill the vacancy. If the appointee is the VP, then the Board would appoint someone to fill the VP position or leave it vacant.

Welcome to the Forum, Perry. I agree with Tim unless your governing documents, probably your bylaws, state that the V.P must assume the office of president if the latter position becomes vacant. I think that's unlikely, but you should check.

Thank you Tim and Kerry.

The By Laws state that if the President resigns, that the Vice President then assumes the office of the President. However, there is no mention of who takes the place of the vice president. Would the board then have to appoint or elect someone to fulfill the position of Vice President?

As John, aka Pita, said, yes the Board would then fill the position in accordance with the Bylaws or simply leave it vacant.

Just to be sure, Perry, will you please cite your Bylaw's exact words on this matter?

Tim was right. The VP assumes the duties, not the office until the next election. Thank you both. I was just concerned about who the VP should be just in case. I know that the President and the Secretary may not be the same person, but, was wondering if the Secretary or Treasurer could move up to fulfill the duties of the VP, just in case. We're only talking about 5 months till the next annual meeting, so, I'm assuming that things will go smoothly till then.

You will need to check your Bylaws.

Typically, the President and VP may not hold two offices at the same time. However, the Treasurer and Secretary can be the same person leaving one to fill the VP position.

Florida statutes defer control of holding multiple offices to the Associations governing documents.
