We are a newly formed board. At the first workshop/meeting with the management company, (we've only had the one) two board members were out of control. A position vote that should have taken 15 minutes took 45.. One member is so upset that they didn't get the position they wanted, they said that the one in that office will have to stand up to rigorous scrutiny from the community. But what was really meant was the scrutiny would come from a select 'group' of folks. Since the positional assignments, this board member has continually questioned anything that comes from the President citing proper protocol and positional power.. The president has only followed direction of the office but this one member is trying to make it impossible for them to do their job.. The treasurer has also been feeding off of this ones attitude.
Have any of you dealt with this? Advice???

It sounds like you had an "organizational meeting," where the directors chose officers. Is the entire board brand new? If so, why? Gnerally, there are staggered terms where, say, two directors are elected one year and three the next on a board of five.

You directors voted on who is to be which officer. Can you tell us how many are on the Board? And how many officers you're supposed to have?

Don't your Bylaws state the duties of each officer? Can't your PM help you sort things out?

The president should maintain order at meetings and keep them moving along. Perhaps s/he needs a gavel.

Do Homeowners attend these in TX?

We are a brand new board because the development board chose to resign. 5 members @ 2-3yr, 2-2yr and 1@ 1yr
The management company oversaw the whole thing so all procedure were followed. The bylaws are VERY vague not stating office specific duties but duties as a whole for the board.

Yes it was an organizational meeting where board positions were voted. Two people wanted the Presidency so it was held to a vote 2-1. A got the position B did not. B proceeded to say that they felt a moral duty, moral duty to say to everyone at the meeting that A may have not followed proper procedure making improvements stating 1,2,3 etc.. B has also suggested to one neighbor of A to send a certified letter regarding an issue that isn't the responsibility of A. B has also challenged the authority of A in back and forth correspondence with other members and the management company...
Workshop meetings between board members can happen as long as no official decisions are made. Those decisions can only be made in open board meetings in which the voting members are privy to...
