I was absent at the last board meeting and a member resigned and the other board members called someone to see if they would be interested in being appointed and he said yes and they voted him on the board. I am against this, obviously.

There is a new board being elected shortly and I wondered IF the new board votes to reject the minutes (which I believe are incorrect - but that's another issue).... does the prior board's vote to appoint that new director still stand or do those actions become null & void since the minutes were voted NO Approval?

I'm hoping it doesn't and that the new board will get to vote on appointing someone they would like on the board.

Really appreciate your help here. Thanks.

The minutes should reflect what happened at the meeting, and are not a way to nullify valid board actions.

The good news is that what the board giveth, the board can take away. The new board can remove members that were board appointed (they normally can not remove members that were elected by the owners), and make a new appointment.
