We just had our elections and I've gone from VP to new President.The current President put himself on the ballot as a member representitive.Our Bylaws are not ready yet but they say nothing about a member rep. The current officers are trying to add that as a resolution. The new board takes over july 1st, if the Bylaws are not done, will the new board or old board vote on that? Patty

Check governing documents, do they speak to number of boardmembers? additions are done by... what requirements, etc.

Who does the the past President represent... as Board representative...? Does he/she have an equal vote as other currently elected boardmembers...? If you are elected President, I would think that you reside over meetings, unless there was a "effective xyz date," added/required under the governing documents.

Thinking that when I was elected President, the past President either went to the Soprano's or Witness Protection Program, because he was definitely "ghost."

What's the difference between a board member and a rep? I think it should be a board member and not called a "rep". I did something similar after I stepped down. I became just a board member for the first year. Just to be there to help guide the new board and be available.

Patty: check your Bylaws whereby it will state what the MINIMUM number of Board members are to be; therefore, you possibly could expand the number of Board members by having 'directors at large'. However, in the case of the previous Pres. putting himself on the ballot as member rep, in what capacity/role? Would he want to have voting power? or just be an advisor?

An advisor would not be a bad thing, especially if he was a good President and has a good reputation with the assn. membership. However, I don't believe he should be an actual Exec.Board officer with voting power since he is now out of office. You should have an odd number of voting Board members to alleviate any cases of a tie.

For the officers to 'try to add that (member rep) as a resolution' would be to change your bylaws which requires a specific percentage of residents to actually vote in favor for it to pass. Your bylaws will state what percentage is required.
