I should note that I am a board director and this is a self “managed” HOA.

This was declared by a board director at last HOA meeting by a board director. The other directors and officers are just letting this occur. The board director who declared this is chair of the following committees: Nominations, A/R, Compliance, and Welcoming. He is also chairing an (expensive) initiative to update CC&R’s and bylaws. He has been bestowed the position of “meeting” expert as well. This individual has recently sent out letters in the board’s name internal to the community and outside as well. Those letters included incorrect info, info about legal items we are working on,... Neither of the letters were reviewed or given final approval by the board as required. When I questioned what was going on, I was told to mind my own business.

I brought this up at the last meeting to include motioning that all letters,… have final review approval by the full board before being sent out. That is when this director made the declaration that “Committees are autonomous and do not answer the board!” He further stated that committees will tell the board what is going to happen, but it is not up for review. I asked who is responsible for the budget he responded, “the board.” Who is responsible if something goes wrong? He responded, “the board.” The motion mentioned above did pass to review/approve letters,…before they go out. His response, the board will get an FYI email but not waiting for any approval.

As a board member, I am blown away. It has never been this way. There are rules in place, but they are simply being ignored. This individual has pushed things too far and the rest of the board is just going along. Has anyone ever seen anything like this before?

How many are on your board?

Is this man an officer on your board? If so, the board can vote him out of office (but probably not off the Board). But your board is too afraid.

Do you have a Board secretary who should be in charge of communication with H/Os?

Do you have sense why the others directors are permitting Mr. Bully to BE a bully?

You didn't tell us, but what do your bylaws says about committees? If silent, what do WV's corporations codes (if you're incorporated) say about committees?

If like CA's the Board is in charge of committees; it appoints members and chairs and can "fire" members & chairs and dissolve committees. But it sounds like your Board is too cowardly to do any of that!

You might remind the others directors that if they remain silent and don't try to stop Mr. Bully, if he breaks the law, you all MAY be responsible!

If you simply cannot get your frightened board to act properly, you may have to encourage H/O's to recall Mr. bully.

In most docs (Covenants, Deed Restrictions, Bylaws, etc.) Committees are appointed by and serve at the pleasure of the BOD.

Read your docs.

Oh, I have read the docs and what you noted is in ours. I have even pointed it out to them. And this is where things have gone.

-No, he is not a board officer. Director at this time.
-secretary will do minutes only. Cherry picks what they will do. Writing letters, signing docs,...won't do.
-our by laws,...state that committees have one chairman, one to two board members on the committee, rest are communities members (residents), four standing committees. The board can create additional committees. Agents, officers, committee members are to be supervised by the board.
- as to why others allow this, well I am trying to figure that out. Let's see cliques, short sighted, special interest, not understanding or caring about their responsibilities,...
