Can someone help me with the appointment of BOD members when the President resigns and the VP doesn't want the responsibility? Can the BOD just vote to allow another Director take over as President? Next, can the remaining members just add another Director on their own? Thanks for any help you can provide.

Whatever you do make sure you remove the VP from his position (not necessarily the Board) once you get your new President. If the VP isn't willing to step up then he needs to step down. I know most Bylaws and such are usually written too vague but what do yours say about replacing an officer? Can the Board appoint someone to fill out a term or are all officers required to be on the Board by election by the membership?

Darlene, check your By-laws. Usually the Board elects each officer and appoints members to fill vacancies on the Board. So if the President resigns from the Board then the Board may appoint someone to fill the vacancy on the Board and they elect a new President. The VP performs the functions of the President until such time as a new President is elected but usually does not automatically become President.

What is the purpose of the Vice President if he won't act as President in his absense (or her)? That is the very definition is almost all cases.

What if you only have 2 board memebers secretary and treasurer and the community has has them to resign? Can the community just appoint someone temporary and then vote

Lorna, I don't believe your By-laws will allow just anyone in the community, other than Board members, the authority to appoint Board members. You would need a members meeting called to specifically vote for Board members to fill the remainder of the term for each vacancy.
