In our single family home HOA, the DOD is silent on amending. Has anyone ever heard of using the amending provision from the Articles of Inc. and applying it to the DOD instead of using the Virginia POA Act? If so, can you direct me to a legal basis to do so?

Karen, in my experience, the DOD is the Department of Defense. Do you mean the BoD--Board of Directors?

What is it you are asking? Can the Board of Directors amend the Articles of Incorporation without seeking property owner approval or ???

Can you provide the context for you question? What is taking place, why are you asking, what language in your documents does not seem to fit or ???

Looks like it's something called a "Deed of Dedication Amendments." They sound MAYBE like the declaration or the covenants or the CC&Rs. But MAYBE not!

Who wants to amend this document, Karen? What do your Articles say about amending this "Deed of Dedication"? Anything?? What does VA POA laws sway about it?

I assume that the "Deed of Dedication" is what we normally call a Declaration of Covenants, Conditions, and Restrictions (commonly known as CC&R's).

Normally CC&R's contain some provision for amending them and usually require a certain percentage of owners to approve. If your DOD/CC&R's are silent, see if there is any provision in state statutes that cover amendments. If the statutes are silent then you may have to petition the courts to permit an amendment. Of course, your first amendment should be to add a process for future amendments.

The articles of incorporation are separate and distinct from your DOD/CC&R's. The articles establish a corporation while the DOD/CC&R's control real estate. Yours is the first proposal I have ever encountered to try to amend deed restrictions by amending the articles of incorporation.

If the CC&Rs are silent, the VPOAA would apply and need to be complied with. Failure to comply would open the amendment to legal challenge. NOTE: There is a time limit to challenge an amendment in VA. This is one year if I recall corredtly. Check the VPOAA to be sure.

Thank you for your responses. Yes the DoD is the Deed of Dedication. The document is silent on amending it.The Board put forward the amendment and the HOA attorney said to use the Articles of Inc. rather than the POA Act provision. When I ?'d it the lawyer said they were correct, my lawyer had never heard of it.
The key was the percent of votes needed to pass were less.
I trust, Tim, if you agree we should have used the POA Act, that my lawyer was right.
