Is it possible to have a HOA board meeting without having management representative present? That is...the Board members get together to discuss an issue or issues that may involve management and not have a representative from management there?

Sure you can - we would usually do this in executive session, although you could also do it in a special homeowners meeting, depending on what the issue is. Whatever you choose to do, be sure to announce your intentions in an open meeting to keep homeowners in the loop.

Now you're being mysterious. But in any case- the management company works for you, you get to set the parameters.

If you are going to discuss replacing the management company- expect them to realize (or at least guess) what you are doing. This can have strategic value.

Yes, the Board, in accordance with the Management Agreement, can advise the Managing Agent not to attend any given Board meeting. Another option is that during a Board meeting an executive session can be held excluding attendance of the Managing Agent.

We have gone the other route. The management company attends board meetings by invitation only, which amounts to maybe 3 times a year. So as others have said, their presence is at your discretion.

I do think that letting the MC know that you are considering a change is usually helpful. If on the other hand, you are concerned about fraud or misappropriation, then it is usually best to do your investigation without disclosing it to the MC.

When we discuss performance evaluations of the GM and the Asst. Mgr., in
ES, we excuse them from the room. Usually the COO of the MC is present in these case, but we ceertainny could excuse her too.

The management company works for you. You do not have to have them present at your meeting.

However, you will still need to follow any state laws on open meetings in regard to giving homeowners notice and publishing and agenda and minutes.
