I held the position of Secretary/Treasurer because we are a community of only 32 homes and only had 3 people on the HOA Board, but about a week ago the President and Vice President both resigned because of issues regarding our current budget and this left me to run the board all alone. My question is...How do I go about running the next meeting, which is Thursday, July 3rd at 6:00pm. I'm unsure if I do an Organizational meeting and run it just like a regular board meeting with an agenda and minutes and all or if I just announce the resignations and new appointments along with the regularly scheduled board meeting. Please advise as soon as possible. I'm very confused. Thank you so much for any help.

Been there, done that, got the T-shirt... Number 1. Find out if you have any replacements available. Does your documents allow you to appoint people to the board? Ours did not leaving me having to run the place for several months. 2nd. Let cooler heads prevail, and see if the really decided to quit. Maybe take recess and re-evaluate the situation. You all have to have someone to run the HOA, why not you or them? Convince them of what powers they give up.

As for the meeting, I would read off the resignations. Then fill the positions. That way the new business will have a possible quorum. Usually the board is elected by the members and then positions selected by those elected BOD members. Define who wants what position and know what responsibilities are. Losing a Vice President is not that big of a deal. Their position is NOT like the US president. Which typically means they do not become president upon the presidents resignation. They usually just hold the meetings for the president if they can't make it.

Time to pull up the boot straps and bring in the rule book. Look at this as an opportunity to change things for the better. Maybe the new people can get along better.

When I left my HOA, it was just me and my vice-president. Even I had moved out of my HOA! Granite it was next door in a non-HOA neighborhood... My vice President was even 6 months behind in his dues as well... So yes someone else has been in your shoe... You can do this!

If the meeting is simply a board meeting, all you can probably do is appoint others to fill the vacancies. However, as Melissa posted, check to make sure you have that authority.

The Board may not conduct business, except for filling vacancies or holding the annual meeting (so elections can take place), without a quorum being present. You may continue to pay bills for existing contracts or items previously approved. However, you may not enter into any new contracts. Typically, a quorum is a majority of the Board (2 of 3 seats, 3 of 5, etc.).

If the meeting is the annual meeting, you simply run it like any other annual meeting and hold your elections.

Another suggestion:
Reach out to the 2 resigning members and ask them to stay on until they can be replaced. If one agrees, you have enough for a quorum of the Board and can conduct business until things stabilize.

Good advice from the other posters but use common sense in keeping the property maintained at a base level. Don't let things like leaks or other "need to repair" jobs fall to the wayside over concerns about board makeup. Don't move on things like a budget or big new projects until you determine how to get some new board members to help you.

Sure am glad i found this discussion board....and am glad that Laurie found it too.

Gives me lots of confidence to know that i can come here to chat about different points of view on different subjects, learn more and hang out with others who are dealing with many of the same issues i'm dealing with. Just speaking for myself here, but it sometimes gets kinda lonely out here in HOA/Condo land...lol...

HOA's ability to administer and make good decisions can't do anything but get better and better as we all learn how to work with each other - and i feel that this discussion board is one of the reasons why.
