Our HOA is a 12 unit condo whose By-Laws still reflect the initial ones drafted 32 years ago. We are currently having issues with our management and I am trying to get the documents in order before we self-manage (AKA it gets dumped on me). We had one meeting in my time here and had to fight tooth and nail to get a quorum through proxy. Luckily, we got out seven people and there was no dissenting. There are 4 out of the 12 who owner occupy and I have only had 1 our of the 8 renter occupied units respond to interest in holding a meeting.

Since there are no provisions for e-mail or lack of interest in forming a quorum(documents were completed in 1982 - no e-mail), is it possible to send the unit owners amended By-Laws and governing documents for approval and have them yea/nay with a signature via mail?

Just at a loss of what I can do and with the documents being so old and outdated, this issue isn't addressed.

Depends on the language in those documents (or applicable laws) on how to amend.

You may be able to amend with x% approval.
Or
You may be required to amend with x% approval at a meeting held for that purpose.

We were able to by pass the special meeting requirement in our documents for changes by giving up the right to attend one. It basically required 2 documents to be signed. 1 for the actual vote change and the 2nd for foregoing the special meeting to gather the vote. This freed us up to get votes outside of that special meeting requirement. Which you may want to see if you all have before taking action.

Remember your going to have to pay for the postage and mailing supplies. Who is going to pay for this? Plus nothing can go into a mailbox without a stamp on it. So put that into play when gathering your votes and how your going to do it.
