When an owner chooses to vote for Board Candidates through a Directed Proxy but does not attend the Annual Meeting itself does the vote for candidates count toward establishing a Quorum at the Annual Meeting?

My understanding of a "directed proxy" is that the proxy directs the proxy holder in a specific manner on exactly what their intent is. The giver of the proxy does not have to be in attendance. In addition, the proxy should count toward the establishment of quorum. The language in the Bylaws will generally state " In person or by proxy".

The last proxy we used had three choices on it to use the proxym; 1) limited proxy, 2) general proxy, 3)proxy to establish a quorum only.

You should check your documents to see what they say about proxies - in my association, proxies can be used to designate someone to attend the meeting and cast the vote for Board members and establish a quorum. The member may also write in the name(s) of the people he/she would like to serve on the board, but if no one's listed, the Board president will cast the vote on the member's behalf.
