Hi All,

Just seeking a few opinions. We met our new CAM as they were driving through the neighborhood. We made some small talk with the CAM. The CAM informed us that the property management company was served notice by the HOA Board that their contract was not going to be renewed. The CAM also said that this was not even discussed during the last HOA meeting (or any official HOA meeting for that matter). Is this kosher for a Board to discuss and decide independently and outside of a HOA meeting that they are not going to renew a contract with a vendor? My understanding of our state's HOA laws is that anytime a Board meets to discuss the business of the association, this constitutes a quorum, the meeting has to be posted 48 hours in advance, and homeowners are entitled to attend such meeting. In seems that this "decision" was clearly made outside of any meeting and was not presented to the homeowners at ANY meeting. Kosher or not?

Just as background, we already know the HOA President has a personal vendetta against the property management company when they would not waive his late fee.

well, technically, not renewing a contract doesn't require a decision, or action. So, the contract could have expired, and the board didn't meet, didn't discuss, didn't do a thing, and just let it expire.

Or, they could have had an improper decision/meeting.

The contract is active so it has not expired. The Board has also already put out bids for new property management. I will assume the contract is going to be expiring soon anyway. I just found it strange the Board has made a decision to not renew the contract without a meeting yet in a quorum.

Sounds like a good thing, the board is looking out for the community.

I don't feel that soliciting bids needs to be talked about at an official meeting. The decision to accept a bid should.

I would feel that way if it wasn't that certain Board members have a personal vendetta against the property management company. Most homeowners are very happy with the property management. They are a bigger company and they manage some of the better communities in the area. Now we are going to lose them.
