Hi, Quick question. South Carolina here, and I want to know if the HOA President can preside over a Board Meeting via conference call? She does not live in our subdivision but does own a house here. Most meetings are held with the president being on the phone, as is the treasurer, and the rest of the attendees having to strain to listen. A meeting is coming up regarding bids and this is the way it will be conducted. Does she have to be physically present? Our by-laws state the president must preside over the meeting but not how. Expecting that your Association is incorporated as a nonprofit (most are),
per the South Carolina Nonprofit Corporation Act of 1994, section 33-31-820:

(c) Unless the articles or bylaws provide otherwise, a board may permit any or all directors to participate in a regular or special meeting by, or conduct the meeting through the use of, any means of communication by which all directors participating may hear each other simultaneously during the meeting. A director participating in a meeting by this means is deemed to be present in person at the meeting.

Therefore, unless your own governing documents prohibit this, then the answer is YES, the president may participate in a board meeting via electronic means.

If the Board doesn't like this arrangement, then make a motion to remove that individual from serving as President and appoint someone else (as the Board appoints Officers).

At our town meetings, in the winter, some people attend via skype because they are in florida for the winter. Yep, welcome to 2013.

In FL, you can participate from anywhere (telephone, Skype, etc.). The HOA is for deeded owners and you do not need to live on the property to be represented or serve. You must check your docs and state rules, but be sure not to confuse a neighborhood watch or other civic association with an HOA. One is for neighbors and one is for property owners.

Hatred is contagious, so one should work to avoid it.
