I have a question for a qualified professional. I am the president of an HOA in Texas. According to our Covenants and Bylaws during that annual meeting we are to vote on a new board. We had that mtg in February and did not even meet our qourum. 1 board member says that means that we are still on board another year. 2 of us are uncertain. The CCCR and bylaws says that a board member has to be elected and qualified. What do you think?

Misty, the annual meeting needs to be rescheduled. Check your By-laws because the quorum requirement is often less for each attemp to hold the annual meeting. The members stay on the Board until the election at the annual meeting takes place.

It does not say anything in the bylaws about lowering the quorum for the annual meeting unfortunately. Just to make it clear, until there is a quorum the current Board stay. Correct. What these 3 HO's would like to do is just take us off the Board which is there right. But they don't want an HOA at all. What would happen if these HO's would take us off the Board and there are no HO's willing to stand up? Then it would be turned over to the state and cost us lots of $$ we don't have? The current Board only wants the best for the community and we don't want another Board that will do nothing and let the neighborhood go down the hill. 2 of us on the Board wouldn't mind someone taking our place. We just want people that will do something and not just talk and talk.

it is also in title 18 under non profit corps that if you dont have the quorum then you reschedule and then you need half of the 50.1 percent qourum from the initial annual meeting
