This is continued from: Can the MC vote proxies to keep their contract?

Short version.

Found out we had no BOD.
Refused owner contact info by MC so we found them other ways.
Read the laws, bylaws and CC&Rs.
Notified all owners that we are out of compliance with state law because there is no BOD. (No BOD for 6 years.)
Notified all owners of the up coming meeting to vote in a temporary BOD and look into other management companies or self manage.
Meeting is set for Saturday at a private residence.
MC was notified of the meeting by one of owners.
MC stated she would be there uninvited.

MC is now calling all owners trying to get their proxies because, "she is having the annual meeting at the end of the month". I'm guessing this is how she has continued her contract each year. (No BOD, no owners at the meetings and she counts the proxies).

MC has also sent out a letter today to members stating there is a disgruntled owner trying to cause trouble.

Any ideas what she is up to?

Even if she gets 2 out of the 3 BOD seats, I have more than enough proxies from very determined people that her contract will not be ratified. She needs 75% of the quorum present according to the CC&R's.

It up to the BOD to award contracts. Association members do not get to vote on contracts. If those that support her obtain 2 of 3 BOD seats then one can assume they will vote to renew her contract. 2 For and One against.

The amount of whatevers you hold saying they do not want her contract renewed means little.

You have to win support by putting like thinkers on the BOD.

Our CC&R's give the members the right to ratify all contracts with any MC and it takes 75% to do it.
