We have our annual meeting this Thursday. Immediately after the annual meeting we have a Board meeting. I emailed our President so that I could get the agenda for our Board meeting to post by tommorrow. She told me the Board meeting after the annual meeting is a closed meeting because all the time she has been on the Board the Board has waited for everyone to leave before having the meeting.

We do have items to discuss at the Board Meeting that may not be presented during the annual meeting.

We did have an executive session a few days ago to prepare for the annual meeting. We have not had a montly Board Meeting in February.

I get so frustrated with our President at times.

Bonnie, under what circumstances can your board hold an executive session? What kinds of topics may be discussed. It should be spelled out in your governing documents, perhaps in your bylaws. If you cannot find it there, you'll need to see if there's NE laws that apply to your type of HOA and find the answer there.

If the prez is acting in opposition to your governing docs or state law, the rest of you directors probably may vote her out of that office. Again, this probably is covered in your bylaws.

Well if that's the way it's always done - what's your problem? Just because it was always done that way doesn't make it right. If your HOA is like mine the first meeting after the annual is an organizational meeting where officers are chosen, perhaps it is time for someone else to be pres.

I have emailed the other members and asked them about it butI haven't gotten a reply back yet.

The problem is no one else wants to be President including me. Actually it is hard to get Board members.

This meeting will be an organizational meeting, but we do have other items we should discuss. I quess we could just get the "organizing" out of the way and then discuss the other items in March.

I agree wholeheartly that just because it has always been done one way does not make that the right way to do it.

It makes for a long afternoon & evening, but we have meetings in this order on the day of the annual meeting:

1. Executive Session
2. Regular (open) Meeting of the Board--we try to keep the agenda light
3. Annual Meeting & Election
4. Organizational Meeting

If no one else wants to be prez, just remember that she has only one vote; don't let her bully the rest of you.

This caused me to laugh. WHen I was voted in as Secretary, I really did not want to be Secretary, but we voted for a President, Vice President, and Treasurer, that left me as the Secretary.

I like your order. We had an Executive Session Saturday. I think our documents specify that we have a Board meeging immediately following the Annual meeting. I will have to check this because I certainly do like the order you have listed.

I am not in favor of any closed meetings, other then legitimate Executive Sessions. I think they only add to and/or foster owners distrust of BOD's.

Yes, a 5 member Board with 4 officers.

This is not the firt time we have had to tell our President how things should be done.

Last year was the first time agenda items have been posted since I moved in July 31, 2008. Before even the Board members didn't get the agenda from the President and Vice President until meeting time.

WHen I first became a Board member I was almost ready to resign immediately because of the way business was conducted. It was quite difficult to back up the other Board members and that is an understatment.

Our current Pesident is the only member who is still on the Board who was on the Board when I first became a member.

Those are valid resaons for an Executive Session.
