When must actions taken during Executive sessions of the Board
be made public?

When decisions are made with what the money is being spent on. If your making decsions on contractors then present the best 3 bids. That way the owners can see the options and give their feedback for your Board to consider. If this is about collection issues don't release the names of the individuals but the decision to pursue collection.

Remember this money is NOT the board's money. It is EVERY MEMBER's money. The Board is just elected to represent the general membership on how best to spend it on their behalf. Release the information you may want to hear in regards to that.

We summarize these actions at the subsequent open meeting and this summary is in the open meeting minutes. I think that our state laws require this, so you may want to check with PA laws.

Thank you both for those valuable comments.
I am aware of the types of business to be considered in
Executive. It is carefully delineated.
Our Board has had several such sessions but, does not
summarize and report actions at a regularly scheduled
meeting.

My board holds an executive meeting every month prior to the scheduled monthly open meeting. This way they are in agreement when making a motion and no discussion is ever needed in front of the community. Motion, seconed, apprved -- 20 seconds or less. They are warned not to speak at the meeting only the president speaks for the most part.... Prior meetings minutes are never read out loud. They are approved prior to the open meeting and then just referenced. Strange in deed.!

Executive sessions are usually restricted to personnel matters,
negotiations and litigation. Votes taken must be recorded but
not reported; only a summary of the action taken needs to be
reported. My question was as to the timing.
Like yours, our Board holds a "work session" to work out what
you describe. What the membership gets to see is a "Dog and Pony
Show" Residents are deprived of the opportunity to see how
decisions are reached. They have no way of knowing whether their
Board is doing due diligence regarding Board business.

The "work sessions" that you describe, Paul, aren't legal in CA. But, I think I've read here before that PA boards are permitted to behave as you describe.

I don't know, Lynne, if these decision-making sessions are legal in SC. Take a look at your bylaws and relevant state laws. Since I'm only accustomed to deliberating, etc in open meetings, they are what I prefer. Before we "good guys" took over the board via two elections, the old bad board made virtually all their actual decisions in secrecy--illegal here. We'd suspected as much and confirmed our suspicions once elected, which gave us access to old ES minutes.

I have been affiliated with four other planned communities
prior to arriving at my present location. This is the first
time I have experienced a Board wanting to conduct all
discussions behind closed doors.
We have a five member Board, of which, three seat will be
up for election come November. The "Good guys" are hoping
to take over by then.

Good for you, Paul. I hope you and your supporters have put together a good slate of candidates--it's not too early to get your ducks lined up!

Till then, involve as many folks as you can --our "small group" was 13-15--studied our bylaws and state law to learn everything we could before two of us were elected. A year later we were in the majority, and we got our HOA back on track and doing what we thought/think benefits our HOA--not our buddies.

Were your other planned communities in PA, Paul?

Paul, I live in PA also, and our board holds executive meetings monthly that are closed, and they do not issue notes or minutes from these meetings. When we ask for minutes, we are ignored..
