Im the board president for a 272 unit hoa. We have 2 board members that quit coming to meetings last July and one more board member that has become disgruntled and isnt participating participating either, leaving us 2 active board members. However, before he bailed on us, we formed an executive committee with just us 3 active members. My question is this: since we formed an executive committee with a quorum of the board members voting (and set NO limits on this committees powers), do the remaining 2 active board members form a quorum of the executive committee in order to perform day to day tasks? Any advice is greatly appreciated..

Sorry, Melanie, perhaps I'm reading too fast. Please clarify:

Are you a Board of 5? Is that what your docs, probably your bylaws, require?

When is your annual meeting & election?

I assume the executive committee is you three current directors, true? But one of them doesn't attend meetings.

We had a couple of executive committees here for special projects, but those of on it could only advise the Board and not make decisions. You say the Executive committee has "unlimited powers." Is this stated in your governing docs?

Out of 5 board members you can only conduct business with a quorum of 3 members. If you are conducting business with 2 board members it is likely that those actions are illegal. Not good.
