I don't know about Fla., but in CA, so long as the board and any homeowners who are present can hear the absent directors, they may make motions, vote, etc. as if they are physically present.

I do not know about FL, but many states do allow for a teleconference (Skype is simply internet phone service) meeting if all can hear and talk to each other.

So in your specific case we can assume the BOD was in one palce and one person was on the phone. I say if the BOD was using a speaker phone were all could hear and talk, it was allowable.

I was on the BOD of an international business group where most all of our meetings were teleconference meetings. We only in person 1-2 times a year.

Per FL Corporate law 617.0820, applicable if your Association is incorporated as a non-profit (most are):

"Unless the articles of incorporation or the bylaws provide otherwise, the board of directors may permit any or all directors to participate in a regular or special meeting by, or conduct the meeting through the use of, any means of communication by which all directors participating may simultaneously hear each other during the meeting. A director participating in a meeting by this means is deemed to be present in person at the meeting."

Are you a condominium? In Maryland condominium law takes precedence over corporate law and the Maryland Condominium Act says that all board meetings must be open and announced.

It is possible to have a teleconference or Skype meeting only if a conference telephone or the computer is in a location where any homeowner can attend and listen to the discussion.

If it is a BOD meeting and as such open to all, then having a conference/speaker phone in the middle of the conference/meeting table would certsainly be acceptable.
