The date was set for the annual meeting of the members of our association to elect new directors. Notices were hand-delivered and put in our mailboxes ( in direct conflict with the bylaws). The required quorum was not in attendance, so the meeting was rescheduled. The current board (of two) scheduled the meeting three days earlier than the minimum days notice required (10). At the meeting, those in attendance were notified that the meeting is not valid and no voting would occur, even though we easily had the requisite quorum (half of the quorum needed for the previous meeting).

A group of us have enough proxies to put on the board anyone we choose. Can we force an election? Can we take over, as there is only one remaining director? Can we put in place an election by absentee ballot, even though that type of voting is not specifically addressed in the bylaws?

Terry somewhere in your CC&R's should be a procedure on how homeowner's can call a Special Meeting for a specific purpose i.e. an election.

Yes it does, 25 percent of homeowners...or approximately twice as many as we've ever been able to get to attend a meeting. Seems like a daunting task...

Most worth while things are. Or you can try the easy way and see if the one person remaining will appoint volunteers to the Board.

If the meeting is recessed and reconvened at a later date/time, the notice requirements are not required except to announce it at the meeting.

If the meeting was adjourned and a new meeting scheduled then notice requirements must be complied with.

Seek out more proxies so there is enough for a quorum.

Thanks for the comments so far. Tim, parliamentary procedures haven't been utilized since day one; so there has not been a clear distinction between "recessed" and "adjourned". It's being run more akin to the ladies sunday school class committee, albeit much more is at stake...and risk.
