Our development is in transtiion. We have had a lame duck management company and started with a new company a month ago. We met tonight to discuss the annual meeting. Two of our board members announced they were up for relection. When our new management company took over I asked if there were any board members who were up for relection, however, with everything going on with transition we didn't realize until tonight.

We have less than a week to proceed with an election. Our bylaws state that elections are done at annual meetings. Our annual meeting is November 19, 2012. Should we go ahead with an election at such late notice or reschedule our annual meeting? Our declarant changed our annual meeting from September to November with a resolution three years ago. Can the board again change it to December??? to give the board time to prepare for an election.

One of our board members suggested that we not do anything but we must go by our bylaws/CCR's.

Any advice would be appreciated.

Elections are important. I recommend that you postpone the annual meeting with an explanation and give an appropriate amount of time for the nomination process.

I am not in your state, however, should there be problems in the next few months after the election if you continue on this schedule, questions could be raised about the validity of the election. That could invalidate all the decisions made by the board.

If everyone is allowed to nominate and run, then that should make for a better start with your new management company.

I too would postpone the election, I would send notice to all homeowners with the reason for postponement, new date and a call for nominations.

Yes, if you haven't already had your monthly meeting call a special meeting of the BOD and motion to push out your Annual Meeting a month. It's not uncommon to do this.

While I agree with push the meeting out a month or two, someone is going to complain.

I suggest you sent out a nice polite notice like: Do the recent management company transition we wish to be sure all our owners have a chance to participate in our upcoming BOD elections so to enable ...yada..yada....

Sell it to them.
