If our Board President resigns from his position, but not the Board, does the Vice President automatically succeed him? Does this differ if the President resigns not only from his postion but also from the Board?

The way most CC&R's are written the VP would take over the duties but not necessarily the office. If the position becomes available the Board should hold a organizational meeting and elect new officers although some may prefer to remain in the offices they currently hold.

If you follow standard parliamentary procedure, the vice president automatically becomes president upon the resignation of the president (not just assumes the duties of). Whether the individual (former president) remains on the board or not is irrelevant.

However, your bylaws may specify something different than what is found in standard parliamentary procedure. In that case, you must follow your bylaws. Furthermore, since in many cases the president (or any officer, for that matter) serves at the pleasure of the board, the board may be free to elect another individual to be president (in accordance with the bylaws, of course).
