Our annual meeting is coming up in a week. There are two board positions up for nominations. The two members whose terms are expiring are not seeking re-election. I have attempted to do some recruiting in the last couple months to no avail.

We are a five person board. What happens if no one will run or accept a nomination?

The remaining 3 members appoint 2 individuals to fill out the remaining terms.

This is of course with the expectation that you can find two volunteers willing to serve.

Another option is to leave the seats vacant - as long as their is a quorum, this is not an issue but does create extra work for those who are serving.

I recently went through this last year and looks like I'll be going through it again this year.
