We just had a meeting and the President stated she was also the secretary (4 months now) until there was a replacement. The President ask for a volunteer. We had a member volunteer for that position but the President said nothing, just rolled her eyes. She does not like this person. After the meeting the Prersident was ask by the member, could she have the job. The member was informed by the President that it would have to be a Board decision. This President rules over the other Board members so they would follow her lead. Is this so and can she do this?

It should be spelled out in your bylaws. It's probably up to the board to replace a director who resigns (or in this case, resigns one of her two positions). If, as you state, "This President rules over the other Board members so they would follow her lead", then she may well have her way. The position should become vacant at the next election and the membership can vote in whomever they feel is best qualified.

Two thoughts:
1. The bylaws often do not allow a director to serve in more than one capacity. An exception might be "secretary/treasurer".

2. A BOD composed of people who "do not like each other" can easily get bogged down in power struggles and nothing gets done. It often happens but it's not good for the community.

No it is not so and yes she can do this as long as the rest of the Board lets her. You need to read your By-laws. I'd bet they state the President can not serve any additional office. And yes it is the Board that decides who will serve in each office. Why didn't you make a motion for the volunteer to serve as secretary?

As has been posted numerous times on this site "knowledge is power". Learning your controlling documents and Robert's Rules of Order is strongly recommended for every Board member.

I have read the CC&R's 50 times and do know it. I have not read Robert's Rule and no nothing about making motions, etc. This will be my next project. This all took place at the Board meeting. I had told the President she could not hold another office (states so in the ByLaws) weeks before and so I told her again at the meeting in front of the MC and the five (5)members that showed up. Her reply was, yes I can and no one else spoke up. The PM did say she would check on it. But it really doesn't matter because no one cares and how would anyone know and she does as she pleases. She recently appointed a HO to be V. President, this person and the HO had come to our May meeting highly intoxicated. They disrupted the meeting continually w/fowl language and abused the old PM until she got up and left(Presidents neighbor). A couple of months later the MC dropped us. (I have all of this on tape.) I personally didn't feel this was a good choice for the Board (over ruled). We are hurting so badly for good volunteers, it doesn't seem right that this HO could be reject for no good reason. We were suppose to have our Annual meeting in Jan. but were told it's not happening until March, then we can elect new officers, I hope.

As others have said it is highly unlikely the president can have more than one office. Why don't you copy and highlight that in your bylaws and present to the board at the next meeting. Futhermore, the president alone can not appoint people to board positions, that is a board decision.
