Our president resign, so now I the vice president am filling in, or actually am the president, one of my director is now constantly texting me to have someone fill a spot, cause it is now only 4, I know I have to get someone but he is rushing me frantically!!...how long do I have to nomimate someone? Is this a matter of life or death!!he just resigned 6/15th

Most docs call for a majority of the BOD (in your case 3 of the 4) to agree on someone to fill a BOD vacany. The appointed person must also meet the qualifications to be a member of the BOD.

Doubtful your docs. say you must replace immediately. The state doesn't.

Ask for volunteers at the next BoD meeting. To pick someone before making it public that a spot is open would be improper.

Don't let the other director bully you, Annie. Read your governing docs, probably your bylaws, to see how to handle a resignation from the board. Most likely, the whole board chooses a replacement. The acting president is not solely responsible.

Place it on your next board meeting agenda as someone else suggested.
