Our Association Bylaws state that each member entitled to vote shall be entitled to vote in person or by a duly authorized proxy. Does the proxy also provide the right for the person holding the proxy to voice opinions and comments on issues that may arise at the Annual Meeting, or is it just the right to vote without input when discussion takes place?
There is no mention in our Bylaws of the right to partake in discussions, only the right to vote.

The proxy represents the member at the meeting and is authorized to cast the vote.

Typically the proxy is another member, a member of the family, their tenant or a member of the board.

I believe that it's common sense to allow all residents and members who attend the meeting to participate in the discussion. It's possible that they might have a fantastic idea that no one thought of. If a lot of people want to be heard, the Board may limit the time allotted for the discussion.

There are two types of proxies: general and instructed. With an instructed proxy the holder of the proxy is to vote as instructed on the proxy document. With a general proxy the holder of the proxy is authorized to act for the granter of the proxy in all business at the meeting. That would include participation in any discussions.
