If the members voted to have five(5) BOD's at our annual transition meeting last year and five(5) were elected then we had three(3)resign(we also lost all of our committees). The President has chosen to only keep the three(3) remaining BOD's. If the members voted for five(5) does she have the athority to change it w/o a member vote?

Sidney, read your By-laws. Usually when there is one or more open positions on the Board due to resignations the Board may appoint members to fill those positions. But normally there is no requirement that requires them to do so. Therefore, the President does not decide, the Board does in compliance with the By-laws. The President did not chose to change anything; the individual directors decide whether to stay or resign. Changes constantly happen with volunteer organizations.

NO she does not have the right. Read your documents which should advise how many members are allowed and how they are replaced, etc.

Marie, My Docs state, the association shall be initially managed by a Board of three(3) directors, who need not be members of the association. There shall never be less than three(3) directors. I just felt that if the members voted at our annual meeting that they wanted five(5) BODs and five(5) were elected, that we MUST keep five(5) until the next annual meeting and members change the number desired. This President hasn't even tried to fill these positions, she likes it as it is w/she and the treasurer(close friends) in complete comtrol. As I have stated before, we even lost our committees and there has been no recruiting for replacement of them either. IMO any HOA needs more than two people running the show and that's why we voted for five(5).
