We currently have a 3 member board for our 313 member HOA in Idaho. We've been thinking of amending our Bylaws to increase the number of members to 5. However, given the difficulty we've been having in getting people to get involved in anything, I have some concerns that we may not be able to get enough people to fill that many positions. Are there any issues if that happens?

Dwight, there is no problem with having unfilled Board positions. With 313 members I think 3 Directors is too small and would recommend at least 5. I would amend to 5 and try to get some of those who vote to approve to serve on the Board.

As you already know the primary concern is not the number of Directors, rather it is to get more active participation of the members. What can you do about that?

We have 7 for 167 members, have had no issues getting them filled. Good luck, just start recruiting people.

We have two associations HOA and COA and therefore two boards. 5 members on each board represent HOA 213 units and COA 125 units.

If the expansion of board members (probably goes to a vote of the current membership) does not work the board can always create committees with volunteers that can share some of the workload.

Good topic--- We are approaching our Annual Members Meetings and some of us here are in a quandry as to how many BOD do we want to elect this go round-- For all the years I can remember we have had 13-- Our By Laws allow for 3- 13 and it's always been 13...Now there is a movement amongst the restless natives to reduce that number and try to get the BOD that is always the same tired faces (26 years) replaced with some fresh young vibrant "kids"..We have been tossing the amount of BOD around at out think tank sessions and it seems there is no general concensus to how many,,,maybe I could ask for ya all's opinion..... We have 299 home sites and I personally feel that a BOD of (7) Seven is a good ratio....Other folks say (9) Nine- while others say (11) Eleven...Input would be appreciated..Thanks Bunches as always Linda C

Linda, my opinion is 5 or 7 Directors for 299 units if you have a managing agent or several volunteer committees to do the daily work. But I don't get a vote Do your By-laws allow the current Board to establish the total number of Directors each year or must you accept all candidates who receive a vote to a maximum of 13?

We have 7 for 130 and its split between 4 for homeowners and 3 for townhome owners, our bylaws also allow the board to appoint as many special directors as need for the board term, we've already added one, with the memberships approval.

Roger Our Bylaws allow for the Members to make a motion to set the number of BOD from 3 to 13...We have a full time property manager (CAM) who takes direction from the BOD. We also have SEVERAL commitees I do believe the number is 14. The BOD picks the chairperson for all those commitees.Also if there is a vacancy on the BOD the BOD picks who shall fill the vacancy till the next general election- which I think is weird- I assumed that the next person with the most votes would automatically fill the vacancy but that's what I get for assuming something when you live in an HOA.....Linda C

13 BOD members? We were doing good to get 5 people running for 3 seats at our last election: 2 incumbents and 3 new people. And 1 of the new ones dropped out at the last minute. Trying to get people to be involved (beyond just griping about things) is worse than pulling hens teeth.

While checking references for a new management company recently, I talked to one local HOA president who had 7 board members for 89 homes. She thought that 3 would be better because with the smaller number you would be more likely to be able to get things done. She felt that her board spent too much time bickering over trivial things.

We would like to get ours to 5 just to spread out the load. Committees might be a better way to go, and I'm going to be working on that, but first we have to find people interested in being active. We'll get there. It will just take some time.

I think it is awesome you get that much participation, what do you put in the water in your neighborhood! I think 13 is too many, but the other thing to look at, is this working for you? IF it is I wouldn't mess with it, otherwise I think you should look at about 7-9 members.

The reason we are trying for a lesser number this go around is that's it's always the same 11 that get elected by the proxy mongers then 2 of what we call the "normal" people who serve for the betterment of the community and not the gestapo image...We now have a list of 9 great people -myself included on that list - who want so desperately to change the complextion on the community for the betterment of all the Members and not for the select few who have horses and fly planes..Our place is so much more about other things--- Like the big beef is making sure there is accountablity to the Members---Also about making sure all the By Laws and Deed Restrictions are applied fairly amongst all the Members not just a select few who dare to question the powers to be..You know - the typical HOA BOD ATTITUDE...We all deal with it on a daily basis and myself am tired of fighting school yard bullies...I want to peacefully co-exist with my neighbors and enjoy life the way it was meant to be for however long or short period of time we all have here....I know it's dream but you can;t blame a girl for dreaming can ya ??? have a great day Linda C

It's time for your "better" people to knock on doors and get proxies for the next election. You need to point out the problems of the sitting board to these owners. If you don't get the proxies things will never change.
