If a nominating committee volunteered to perform these services, but yet all of them ended up on the ballot for the Board of Directors, would this disolve our nominating committee, my thought is yes it would and they would not be able to preform there duties for which they volunteered there services for. and how would you go about with the election, because it would be a conflict of interest fot them to preform there duties, ex couting votes etc.. please help

A Nominating committee just takes care of vetting candidates.

An Election Committee would be the ones counting votes and certifying proxies.

It sounds like the Board needs to form an election committee. Perhaps you will volunteer to serve on it.

Did they ONLY nominate themselves? AND, no one else is on the ballot? Am not sure if there is anything you can do about it now.

Nominating committees find willing and able persons to serve and offer them for consideration by the voters. Perhaps you also have nominations from the floor and/or write-ins, too.

So while it is kind of odd that they ALL ended up on the ballot, it is not against the law, unless it is stated in your bylaws that the nominatin committee cannot nominate themselves.

BTW - who appointed the nomination committee?
