Can someone give to me the proper procedures for the board to follow in electing directors each year in the state of Tennessee? Is it proper for current board members to vote owner's proxy without a ballot to vote from?

These procedures would typically be found within your Associations bylaws.

A proxy is not a ballot. It just authorizes someone to cast a ballot for someone else.
