We had a special meeting that removed our board over half the subdivison gave their proxies for the meeting. The entire community was noticed 17 days prior to meeting (15 days needed to notice per bylaws) Bylaws were amended to prohibit board members from paying themselves.. The old board now wants the sign in sheet ,quorum, ballots, etc... We had the management company who attended the meeting, audit the meeting and send them the results. So my question is must we give them the sign in sheets? They were invited to the meeting, delivered the proxies before the meeting, etc. I researched TN statutes and only see where I have to give them financial info, I haven't found anything that relates to voting results..
Any help would be appreciated

Why would it be a problem to provide a copy of the sign-in sheet? Or to put it another way, what is at stake to make it worth fighting over?

That was my thought initially, put I heard there plan is to knock on all the attendees doors and see if they voted against them... I think thats a little over the top and will cause people not to attend meetings anymore

It sounds like they are hoping to uncover something that will enable them to try and invalidate the results.

They probably want the sign in sheet to verify the following:

1) A quorum was indeed present - a logical thing to verify.
2) People signed in were eligible to vote - also a logical thing to verify.

If 50 lots signed in but 3 of those lots were not eligible to vote and there were 47 ballots cast, then there is no issue. However, if 50 ballots were cast this might indicate that members not authorized to vote were allowed to. If this happened, the result of the vote could be called into question.

It COULD be an issue ONLY if those 3 votes changed the outcome of the results.

Was the vote close? If so, then that's why they want to check the sign-in with the number of votes.

If not, then they are blowing in the wind.

I agree. I was just trying to demonstrate why anyone might want to review all documents that are associated with the meeting.
