Is there such a thing as a regular meeting of the members? Our By-laws list meeting of the members as annual and special with the meeting of directors listed as regular and special.

A Regular meeting of the Board would be those meetings that are scheduled on a regular basis. Depending on the Association, it might be monthly, quarterly or an any other regular interval. A special meeting of the Board would be one that is called between the regular meetings.

Often times you will see the regular meeting requirement stated in the bylaws. It may atate a miniimum number of times the board must meet in a year, or even state the actual time (once a month) or it will state that the board sets the time and place for the regular board meetings.

As your By-laws state regular meetings of the members are usually only once a year. Some large HOAs may have two meetings of the members per year. Otherwise, any other meeting of the members is β€˜special’ meeting.

To expand on Tim's comment, the agenda for a regular meeting is fairly standardized, such as:

Call to Order
Reading and approval of the minutes of previous regular meeting (and any previous special meetings)
Reports of Officers
Reports of Committees
Unfinished Business (open items introduced at and left from previous meetings)
New Business (new items to be debated and voted on; any new motion is permitted)
Adjournment

The above is a typical order of business for a regular meeting and is sometimes modified to suit an organization's purpose or custom.

A special meeting is normally called when it is necessary to discuss and vote on an item (or items) that cannot wait for discussion and vote at the next regular meeting. In other words, the purpose of the special meeting is specific. Only those items that make up the agenda for a special meeting can be discussed and voted on. Any motion unrelated to the item(s) on the agenda for a special meeting are out of order.

Our Board of Directors meeting are held on the third Monday's of each month. Every member of the Association is invited, and encouraged to attend. IF a member has been called to appear before the board for a rules violation, etc. a "private meeting" is scheduled one half hour before the regular BOD meeting.
The first thirty minutes of the Board of Directors Meeting, is an open forum to permit any homeowner to address their issues, or some attend just to observe.
On conclusion of the open forum the Board of Directors holds it's official board meeting, and homeowners are not permitted to interject.
After the board has concluded it's official meeting, the floor is opened again for anyone to comment on whatever actions the board has addressed.
The meeting is then adjourned.

Our Annual Meeting is held once a year to elect board members, and to allow the homeowners to have their say.
Following the Annual Meeting, the Board of Directors will hold a brief regular monthly meeting to elect the officers for the new term.
