I mis-read and mis-understood VA Code Section 55-510.1(C) Meetings of the board of directors re: meeting in executive session. Having conducted an executive session without making a formal motion before doing so, is there any way to retro-actively correct this mistake or should I just make sure I do things right in the future?

Everyone is going to make mistakes. That's part of being Human.

There is no way to retro-actively make a motion. However, a motion can be made (if desired) at a meeting to amend previously adopted minutes in order to show that the Board was in executive session vs. an open session.

There are many ways to enter executive session:

1. The Presiding Officer makes an announcement that the board will now meet in executive session that would be the same as an uncontested motion.

2. The Board meets specifically for an executive session and this was mentioned in the notice could be considered an uncontested motion.

Example on how to record this in minutes: Date, Time, Note of Quorum, Board entered into executive session per the notice of the meeting for the purpose of xyz, Board returns from executive session (notice of any decision made - and technically this decision should be made in an open meeting), Meeting adjourned.

3. Formal Motions.

There is always a learning curve to any job. During the learning process, mistakes will be made. The point is to learn from them, correct any consequences caused by the mistake if possible and try not to repeat the mistake in the future.
