A lady who is also a Board member has been the manager since March 2010. She had Surgery in May and is to come home this Sunday. The other Board members have been handling her responsibilties.
We have bee talking with the previous management who we have a maintenance agreement with. They said they could resume the functions of management with no additional charge. I heard today that the manager who had surgery is planning on resuming at least some of her responsibilites when she comes home. I thought the President should have told her what we were doing.
Even if the President did not tell her, she was getting the meeting notes, because someone was picking them up from her box.
We are planning on having an executive session to address this situation. But any advise at all on how this should be handled should be appreciated.

Send her a letter, thanking her and telling her what is going on. Dont be such a chicken.

shouldn't this be the responsibility of the President to either do or tell me as Secretary to do?

All Board members should be informed of the meeting and the purpose (I typically send an agenda). If your duties as Secretary is to inform Board members of meeting dates, then you should notify all board members of the meeting.

Since the individual in question is also a member of the Board, this would be her notification. Once a decision is reached, the Association should inform the old manager via letter.

I am surprised that this was not all discussed BEFORE her surgery. How long was she supposed to be out?

Any other employer would have required a Dr's note to return to work. etc.

She had surgery in May and was planning on coming back early June. She had some problems with being ambulatory.
We should have noticed before, but we did notice that what she had described (Yes she prepared her own job description to my knowledge) as her job duties, we were also paying maintenance people to do.
We are planning on letting her continue to show apartments, keep keys to assist residents who lock themselves out and a few other things and paying her the association fee for her unit.
The President and Vice-President are going to talk to her Monday. The President told me she thought this lady was okay with us chosing another manager because she was told we were looking for other managers and told the President she was planning in retiring in Jan. anyway.
The big problem here is this lady has had almost unilateral control. She even had a bookkeeper come for an interview without informing any of the Board members except the President. And I had researched many bookkeepers.
She was also manager during the time the filters in the heating air conditioning units had not been changed for almost 3 years.
She was also Vice-President last year in addition to being manager. If that is not a conflict of interest, I don't know what is.
I have also heard from 2 other Board members that this lady wants to choose the new management. I asked them, you mean she just doesn't want to take part in the process, and they both told me no, she wanted to choose the manager herself.
An amployee chosing there replacement is not good in my book.
Although not Vice-President this lady is still on the Board.

With all due respect you and your fellow Board members need to "grow a pair" this person gets one vote on the replacement just like the other Board members do.

That is all we are letting her have. There are 2 new Board members that were not on the Board last yr when she "took over". Myself and another member who is also a lawyer. I was amazed to find out how the Board was run. I was also amazed that so many Board members don't make the effort to read the documents or anything else related to Board duties. When I frist became a Board member, I spend many hrs reading. I have read the documents, two books, joined this site and have another site relating to Board duties is on my favorites. I need to continually study so that I can be the Best Board member I can be. This site is a great help.
There is no way she is getting more than one vote. It was entirely her idea (to my understanding) that she should chose the new manager.
