Must membership be kept informed of officer changes on Board. The same people are on the board, only the duties and responsibilities of each is changed.

I would think the changes would have been made at a board meeting and noted in the minutes of that meeting. Certainly the minutes should be available to the homeowners and, in fact, the bylaws most likely require them to be. You should check.

That said, any responsible board whould publish any such changes by some means as soon as they are made, whether required to do so or not.

You could state the new duties in the next newsletter (you DO have one, huh?)

(BTW - our bylaws state the duties of each officer. Could you give an example of how your officers' duties changed?)

Why would you want to hide the changes? Hopefully noted in the minutes of the meeting the changes occurred. If someone wants to know they can ask for copy of the minutes or inquire if they participate in the meetings. Hopefully you are having scheduled meetings?

Inform the members in the SAME way you inform them of ANY BoD action.

Those who care will attend meetings and be informed, those who dont't... well don't.

My Association would note the change in the minutes, place it on the website and would inform the membership in the following publication of our newsletter (which could be several months later).

I do not recall seeing a requirement to notify the membership in a specific time frame for any officer changes. What do your governing documents say about it? Have you checked your States HOA/Condo laws?

Thanks. None of the duties changed, they are all standard as in by Robert's, just the person responsible for doing them

Our by-laws don't specifically state we are required to inform the membership but we do. Common courtesy to our members. Our by-laws require that officers be elected yearly by the board members. We send out the results in our minutes, via email announcement, and posted on our website. Unfortunately we do not have a newsletter at this time lack of volunteers however, we have 3-4 mailings annually and we include information there as well.
