Our board recently had it's annual meeting, and had it's results completed. I won't go into too much detail.. but I know first hand that our HOA President has an agenda. Our HOA CCR's do not allow for any removal or "vote off the island" move. They are more than 10 years old and prohibit removal period. There has been intra board issues with the current members. Instead of discussing this in person, the president wishes to air his concerns in front of the board in executive session I know there has been an attempted communication via email but the member has been instructed to "be prepared to defend your actions" at the next board meeting. These actions are unknown to the rest of us.

Saying this, the concerns are inflamed, and over reactive. The actions of the board president are not the necessarily supportive of the entire board. The President does not want this person on the board. The only method of removal is 51% vote ( that will never happen) or voluntarily terminate oneself. The act of "bullying" has prevented this person from being a viable board member... and saying this, this position can not be filled. Honestly.. I don't blame someone not wanting to work with us... "defend your actions"?? I personally would like the President and the non show board member to work things out..

But the lines of hatred and communication appear to be severed by the HOA Pres.. other than "defend your actions" email that I heard of. What can I do? I feel helpless.. and the rest of the board appear to just go along with this. with no issues at all.

The way I'm reading the information about recalls from the davis-sterling.com website:

It states that the decision is based on a majority of the votes cast. This means that even if you have a membership of 2000 lots, if you have a quorum requirement of 10 lots and only 10 lots show, then the vote and be held and 6 votes would be needed to recall. If 100 lots show, then 51 votes would be needed. etc. etc.

Therefore, if the individuals won't work it out, the only other option would be to follow the requirements to call a special meeting and to recall the board or individual in question.

TIm thank you for the links. I will review these. It's a shame that someone feels bullyed ( sp ) enough not to bother with their commitment to the board.
I feel that if something happened in the past.. it should of been taken care of then. Not tossed up because someone doesn't "Like" the new member. If those who have issues worked things out when they happen instead of having it brew on the back burner for future ammo this wouldn't be an issue. I will keep the link at hand and see if this can be worked out or not.

What issue would drive the president to go into Executive Session?

The other board members need to demand professional conduct from the president.

I do believe that I was not clear about this.

The issues that the Prez has with the other board member is something personal. The Prez feels that the actions online have laid out confidential information regarding executive issues.. ( I think it is he was posting on THIS site ) But I am not 100% sure.

None the less. The Prez does this as he wants from time to time. Speaks out for the whole group without consulting them. I know this is off the record. But the Prez seems to get "off" by confronting people in executive session with an audience. This I do not support. It's mean and it's not worth standing by watching. i have made myself known and I will continue to speak up saying the actions of our current HOA Pres is not always supported nor endorsed by the rest of the board.
