Hi all,

I've called a Special Meeting that will take place this week. The general nature
of the business to be conducted is the election of a director. Per our CC&Rs
that every member of the Board of Directors must be an owner or record. The
current Director was evidently not validly elected and is not a owner of record
in our previous meeting.

Are there specific procedures I must follow in conducting this meeting? Is it
limited to only this specific issue for discussion to elect a president? If
the association members want to discuss other homeowner topics - should I adjourn the
meeting before opening it for open discussion with a regular HOA meeting?

Please advise.

How many members are there in your Association and will you have enough for quorum?

When you say that you called a special meeting are you saying that you solicited a petition to call a special meeting, got the required number of signatures and submitted that petition to the Board or are you saying that you sent out notices and just called a meeting?

One method would be an official meeting of the Association. The other method would be just group of people meeting.

There are five units. I have the 5% quorum to for this meeting. Thank you for the helpful site.

Do your governing documents (CCRs, Bylaws)have anything to say about special meetings? If so, you must abide by what they say.

"Oficially" speaking (Robert's Rules) an agenda is published for each special meeting. Only topics on the published agenda may be discussed. This is contrasted with a regular meeting where any topic may be brought up under "new business."
