A voting scenario, our covenants spell out the proportionate interest/shave for voting, which is one vote per lot.
The election scenario,

Five open board positions

Seventeen attending property owners and proxies

Are there seventeen votes for the five board members (one vote for one of five board members?)

Or are there eighty five votes (17*5) for the five board members (one vote per property per board member)

There is only one vote per lot - per issue.

If there are 5 people running and three seats on the Board then each lot may cast 1 vote for the three people they want to sit on the Board (each seat being 1 issue or 1 vote).

Therefore, a typical ballot would be:

Board of Directors (select up to three)

Candidate A ___

Candidate B ___

Candidate C ___

Candidate D ___

Candidate E ___


The complete ballot might look like:

Board of Directors (select up to three)

Candidate A X

Candidate B X

Candidate C ___

Candidate D X

Candidate E ___


One Vote per lot, per issue.

Our HOA it is 1 vote per lot. We have 107 lots. It doesn't matter if the HOA members attend a meeting or not. They still have the right to vote (Unless they owe money). There was 9 Board positions. The general membership (107) would vote for the 9 BOD positions. It was the 9 BOD who would elect amongst themselves who would be Vice/President, Treasurer and Secretary.

That was the technical way to voting should happen. However, the reality of how our elections went was like this: Whoever showed up to the Yearly meeting for elections in January and raised their hand got a board position. Whoever spoke up and wanted a position got it. We barely had 9 people show up to a meeting ALL year. It was ONLY the yearly meeting where any members really showed up. That meeting we might get about 20 - 30 members.

Sometimes you can't get lost in all the details in the HOA when there is such a weak participation level. It's good to go through the motions as much as possible. However, there is a point where reality sinks in. Since a HOA is run by it's members for it's members, it can create what it needs to to survive....
