Our BOD just carried a motion to conduct a referendum to have a community vote on a document before implementing it as part of our ACC procedures. I've got the verbiage to put into the Notice of Special Meeting for the purpose of the referendum and can put together ballots for the referendum itself. My problem is how to conduct the meeting and perform the actual vote. We do not have reliable help from our management company as they have gone radio silent ever since a recent board turnover. (We are seeking new management.) However, this referendum has to be conducted and I don't have a clue how to do it legally/properly. Thanks for any advice! (Time is of the essence; countdown to referendum is 2 weeks.)

You would handle it the same way as any other meeting:

1. Sign in (verification of proxies if needed)
2. Start Meeting
3. Note of Quorum present (same quorum number you would use for a regular meeting)
4. Proof of Notice
5. (Expecting one item on agenda) Discussion of Referendum
6. Close discussion and open polls (pass out ballots if not already done)
7. Close Polls (collect ballots)
8. Count Ballots and announce results
9. Adjourn Meeting
10. If adopted, publish the procedure to the membership

Basically, it's an annual meeting with only 1 item on the agenda.

Can any topic be made or set into a referendum? Say we wanted community feedback on removal of our management company, implementing a website, convenient meeting days, cancel auditor contracts etc.?

Is the board required to make a motion for the record to approve via quorum all referendums before they are made available at membership meeting?

look forward to some help with this.
