What procedures must be followed to have a HOA Board Meeting via conference call? The specific agenda item: accept a bid for a major repair. Many Board members are up north for the summer.

If allowed by your CC&R's or State law the general rule is all parties must be able to hear each other and all members attending in person must be able to hear what is said. Other than that it runs just like any other Board meeting.

Studies show that 5 out of 4 people have problems with fractions

Hi Ruth:

As Glen stated it depends on your documents and state laws. In Florida board meetings MUST be open to all members with very few exceptions, due to other laws regarding confidential information. If you are Condo and need that particular statute, let us know.

 (2)BOARD MEETINGS.—

 (a) A meeting of the board of directors of an association occurs whenever a quorum of the board gathers to conduct association business. All meetings of the board must be open to all members except for meetings between the board and its attorney with respect to proposed or pending litigation where the contents of the discussion would otherwise be governed by the attorney-client privilege. The provisions of this subsection shall also apply to the meetings of any committee or other similar body when a final decision will be made regarding the expenditure of association funds and to meetings of any body vested with the power to approve or disapprove architectural decisions with respect to a specific parcel of residential property owned by a member of the community.

We are an HOA. Thanks for confirming what I thought was the correct way to proceed. Our Bylaws do not address conference calls but do essentially restate what is in 720 about Board meetings.
