Our board sent out minutes of an executive meeting they held by the Pres and the Sec on the phone, the V Pres was notified after the fact. Is this legal?

I didn't think so; don't all three have to be in attendance and in person not on the phone??

The issue would be the lack of a quorum, not necessarily how the board met.

IF the board held the executive session as a conference call, so everyone could hear and speak, and the topic wasn't required to be discussed in an open meeting, I would expect that the procedure would have been legal.

She said "EXECUTIVE MEETING" not Executive Session.

Some groups do have what's called an executive committee - made up of 3 officers - who make those day to day decisions. This is common when there is no management company.
