If a Board holds an open meeting at a library that closes at 9 pm and doesn't get to its executive session by closing time, can the Board convene the executive session elsewhere and at some other time thereafter (i.e., not convene it immediately after the library closes but on another day/time and elsewhere)?

If allowed, what is the process to do that via Robert's Rules?

Are there specific motions to make?

Do the minutes have to reflect such details (i.e., open meeting called to order/adjourned at location A; executive session called to order/adjourned at location B)?

Thanks to anyone who can help clarify.

Since a privledged motion must be taken to go into ES, that must take place within a regular meeting's business.

So - yes, it must be within a regular meeting.

I don't think it could be motioned to meet elsewhere or at another time, independent or after a regular meeting, just to hold a specific ES meeting.

So ... it would be best to not have adjourned the regular meeting, instead, motioning "I move that the HOA now adjourn to meet at X p.m on April X.'

Then you are faced with noticing all members, according to your own bylaws.

(I am not finding anything specific in my RONR book, but I'll keep looking.)

Executive sessions should start and end from a regular meeting. However, the regular meeting could actually continue in a new location or even the next day providing it's in the minutes. I would suggest the following Options:

Adjourn the meeting to executive session and return at in new location or day

1. Make a motion that due to the time limitation causing the meeting room to close, the Board will adjourn to executive session and reconvenes at [address/day] after the session.
2. Motion is seconded and approved

Minutes:

Meeting adjourned to executive session at hh:mm to discuss abc and to reconvine at hh:mm at [address or new day]
Board returned from executive session at hh:mm
Next order of business

Hold the executive session prior to the general session

Minutes would read,

Meeting convened at hh:mm
Quorum noted
Board adjourned to exectuive session at hh:mm to discuss abc
Board returned from executive session at hh:mm
1st order of business, etc.
